Terms and Conditions
These Terms and Conditions ("Terms") govern the use of mehan.ae ("Platform"). By accessing or using the Platform, you ("User") agree to comply with these Terms. The Platform is operated by Smart Mehan LLC ("Company" or "Mehan"), a limited liability company incorporated in the United Arab Emirates. The Platform operates as a digital marketplace that connects employers and workers for temporary work opportunities, project-based work, and event staffing. The Platform acts solely as a technology intermediary and does not employ workers, provide employment services, or act as a party to any contracts between employers and workers.
Definitions
- User: Any individual or legal entity that accesses or uses the Platform, including Guests, Employers, Workers, Event Organizers, and Platform Administrators.
- Worker: An individual who registers on the Platform to seek and apply for temporary work opportunities, project-based work, or event staffing positions posted by Employers.
- Employer: An entity or individual (including Event Organizers) that registers on the Platform to post job opportunities, hire Workers, and engage Workers for temporary work, projects, or events.
- Work Contract: The contractual agreement between an Employer and a Worker for specific work or services, which may be generated automatically by the Platform based on job posting details but to which the Platform is not a party.
Eligibility
Users must be at least 18 years old and legally competent to enter into binding contracts under UAE law.
Workers must have the legal right to work in the United Arab Emirates and must possess all necessary work permits, visas, and authorizations required under UAE law to offer and perform services within the UAE.
Employers must have the legal authority to engage Workers and must comply with all applicable UAE labor laws, including but not limited to Federal Decree-Law No. 33 of 2021 on the Regulation of Labour Relations and any amendments thereto. Employers are solely responsible for ensuring compliance with all employment-related laws, regulations, and licensing requirements.
Account Registration
Users are required to create an account by registering through email or UAE Pass authentication, providing accurate, current, and complete information. Users must verify their identity as required by the Platform, which may include providing Emirates ID, passport information, business license details (for Employers), or other documentation.
Users are responsible for maintaining the confidentiality and security of their account credentials and for all activities that occur under their account. Users must immediately notify the Company of any unauthorized access or security breach. The Company reserves the right to suspend accounts pending investigation of suspected unauthorized use.
Use of the Platform
The Platform operates solely as a technology intermediary that facilitates connections between Employers and Workers. The Platform does not employ Workers, does not provide employment services, and is not a party to any Work Contracts or employment relationships between Employers and Workers. All contractual relationships for work are directly between Employers and Workers.
Users agree to use the Platform for lawful purposes only and in compliance with all applicable UAE laws and regulations. Users must not use the Platform to engage in any fraudulent, abusive, harassing, or illegal activities.
The Company reserves the right to monitor, review, and remove any content, including job postings, user profiles, messages, reviews, ratings, or other user-generated content that violates these Terms, applicable law, or is deemed inappropriate, offensive, or harmful at the Company's sole discretion.
Service Agreements
The Platform is not a party to Work Contracts between Employers and Workers. The Platform may facilitate the automated generation of Work Contracts based on job posting information and user data, but such contracts are solely between the Employer and Worker. The Platform does not guarantee the performance, quality, legality, or safety of any work or services provided through the Platform.
All Work Contracts must comply with applicable UAE laws, including labor law, immigration law, and tax regulations. Employers are solely responsible for ensuring proper classification of Workers (employee vs. independent contractor), obtaining necessary permits or licenses, complying with wage and hour laws, providing appropriate insurance coverage, and fulfilling all tax and social insurance obligations.
Disputes arising under Work Contracts must be resolved directly between the Employer and Worker. While the Platform may provide tools to facilitate dispute communication and resolution, the Platform has no obligation to resolve disputes and is not liable for any outcomes. Users may submit dispute requests through the Platform's support system, but resolution remains the responsibility of the contracting parties.
Fees and Payments
The Platform charges service fees for facilitating connections and transactions between Employers and Workers. Fee structures, including platform fees, payment processing fees, and any applicable charges, will be clearly communicated to Users before transactions are completed. Fees may vary based on transaction type, user role, and services utilized. The Company reserves the right to modify fees upon reasonable notice to Users.
Payment processing is handled by third-party payment providers, including Stripe for fiat currency payments and NowPayments for cryptocurrency payments. The Platform may hold funds paid by Employers until work is completed, verified, or the contract is terminated in accordance with the relevant Work Contract terms. The Company acts as a limited payment agent for the purpose of facilitating transactions but is not a banking institution. The Company is not liable for payment processing errors, delays, or disputes arising from third-party payment provider services. All payment transactions are subject to the terms and conditions of the applicable payment provider.
Electronic Contracts and Digital Signatures
Work Contracts generated through the Platform may be executed electronically using digital signatures in accordance with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. Users agree that electronically signed contracts have the same legal effect, validity, and enforceability as paper-based contracts with handwritten signatures. Digital signatures may be completed through UAE Pass authentication or through the Platform's digital signature tools. Users warrant that they have the authority to bind themselves or their represented entities to electronically signed contracts. All executed Work Contracts are stored securely on the Platform and remain accessible to the relevant parties through their accounts. Users are responsible for maintaining copies of all contracts to which they are party.
User-Generated Content
Users may create, submit, or transmit content through the Platform, including messages, job postings, profiles, reviews, ratings, and other communications ("User Content"). Users retain ownership of their User Content but grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display User Content for the purpose of operating and promoting the Platform. Users represent and warrant that their User Content does not violate any third-party rights, laws, or regulations. Users agree to maintain the confidentiality of any proprietary or sensitive information received through the Platform. The Company reserves the right to monitor, review, and remove User Content that violates these Terms or is otherwise inappropriate. Reviews and ratings must be honest, accurate, and based on genuine experiences. Users may not post false, misleading, defamatory, or abusive reviews or ratings.
Privacy and Data Protection
The Platform's collection, use, and protection of personal data is governed by the Privacy Policy, which is incorporated into these Terms by reference and complies with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
Intellectual Property
The Company retains all rights, title, and interest in and to the Platform, including all software, technology, designs, trademarks, logos, and other intellectual property rights. The "Mehan" name and logo are trademarks of Smart Mehan LLC. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms.
Users may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from any part of the Platform without the Company's prior written consent. Users may not use automated systems or software to extract data from the Platform ("scraping") without authorization. Violation of intellectual property rights may result in immediate account termination and legal action.
Limitation of Liability
The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Platform will be uninterrupted, error-free, or secure. The Company makes no representations or warranties regarding the quality, safety, legality, or reliability of work performed, the accuracy of user profiles or job postings, the conduct of Users, or the outcome of any Work Contracts. Users engage with other Users at their own risk.
To the maximum extent permitted by UAE law, the Company's total liability to any User for all claims arising out of or relating to the Platform or these Terms shall not exceed the amount of fees paid by that User to the Company in the twelve (12) months preceding the claim. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or reputation, even if advised of the possibility of such damages. The Company is not liable for any damages arising from user interactions, Work Contracts, payment disputes, work performance issues, user misconduct, or third-party service provider failures.
Indemnification
Users agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to: (a) User's use of the Platform; (b) User's violation of these Terms; (c) User's violation of any applicable laws or regulations; (d) User Content submitted by User; (e) any Work Contracts or disputes between Users; (f) User's negligence, willful misconduct, or breach of representations and warranties; (g) any claims by third parties arising from User's activities on the Platform; and (h) User's violation of any third-party rights, including intellectual property rights or privacy rights.
Account Governance and Termination
The Company may suspend, restrict, or terminate a User's account immediately and without prior notice for any breach of these Terms, violation of applicable laws, fraudulent or suspicious activity, provision of false information, abusive conduct toward other Users, failure to verify identity as required, non-payment of fees, or for any other reason at the Company's sole discretion. The Company reserves the right to refuse service to anyone at any time.
Users may terminate their account at any time by providing written notice to the Company through the Platform's account settings or by contacting customer support. Termination does not relieve Users of obligations incurred prior to termination, including outstanding payment obligations, pending Work Contracts, or unresolved disputes. The Company may retain certain data as required by law or for legitimate business purposes following account termination.
Prohibited Conduct
Users are prohibited from: (a) providing false, inaccurate, or misleading information; (b) impersonating any person or entity; (c) engaging in fraudulent activities or schemes; (d) circumventing or attempting to circumvent the Platform's payment system; (e) contacting other Users outside the Platform to avoid fees; (f) posting jobs or offering services that violate UAE law; (g) discriminating based on race, religion, nationality, gender, age, disability, or other protected characteristics; (h) harassing, threatening, or abusing other Users; (i) posting or transmitting spam, malware, viruses, or harmful code; (j) interfering with or disrupting the Platform's operation; (k) accessing another User's account without authorization; (l) collecting User information for unauthorized purposes; (m) posting sexually explicit, violent, hateful, or otherwise objectionable content; (n) infringing intellectual property rights; (o) soliciting employment relationships that circumvent UAE labor laws; (p) engaging in money laundering, terrorist financing, or other illegal financial activities; or (q) violating these Terms or applicable laws in any other manner.
Force Majeure
The Company shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions or restrictions, epidemics or pandemics, labor disputes, telecommunications failures, internet service provider failures, power outages, cyber-attacks, or failures of third-party service providers. In the event of a force majeure occurrence, the Company's obligations shall be suspended for the duration of such event.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. By using the Platform, Users irrevocably consent to the jurisdiction and venue of such courts.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions, which shall remain in full force and effect.
Amendments
The Company reserves the right to amend, modify, or update these Terms at any time at its sole discretion. Material changes to these Terms will be communicated to Users through email notification, Platform notification, or posting of updated Terms on the Platform. Continued use of the Platform following notice of changes constitutes acceptance of the amended Terms. Users are responsible for regularly reviewing these Terms. The date of the most recent update will be indicated at the top of these Terms.
